Welcome to SponsorLobby. These Terms of Service ("Terms") govern your access to and use of the SponsorLobby mobile application and related services (collectively, the "Service"), operated by Keipe Creative Studio LLC ("Company," "we," "us," or "our"), a Colorado limited liability company.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using SponsorLobby, you represent and warrant that you meet these requirements.

2. Account Registration

You must create an account to access the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Description of Service

SponsorLobby is a platform that connects content creators ("Creators") with brands and advertisers ("Brands") for sponsorship opportunities. The Service facilitates campaign discovery, applications, messaging, agreement management, milestone tracking, and payment processing.

SponsorLobby is a marketplace platform. We are not a party to the agreements between Creators and Brands. We do not guarantee the quality, safety, or legality of any campaign, content, or sponsorship deal.

4. User Roles

4.1 Creators

Creators may browse campaigns, submit applications, negotiate terms, sign agreements, and receive payments through the Service. Creators agree to deliver content as specified in signed agreements and to comply with all applicable advertising disclosure requirements (including FTC guidelines).

4.2 Brands

Brands may post campaigns, review creator applications, negotiate terms, sign agreements, and make payments through the Service. Brands agree to provide accurate campaign details and to honor the terms of signed agreements.

5. Pricing, Fees & Subscriptions

5.1 Creator Pricing

SponsorLobby is free for Creators. Creators pay no platform fees, commissions, or service charges to SponsorLobby. Creators receive 100% of the agreed deal amount. Standard third-party payment processor fees (e.g., PayPal transaction fees) may apply when Creators receive their payout; these fees are charged by the payment processor, not by SponsorLobby.

5.2 Brand Subscriptions

Brands may browse creator profiles for free. To create campaigns, Brands must subscribe to a paid plan:

  • Pro Plan: $49/month — includes 3 campaigns per month
  • Unlimited Plan: $149/month — unlimited campaigns

Annual billing is available at a discounted rate. Subscription pricing may change with 30 days' written notice to affected users. Subscriptions auto-renew unless cancelled before the end of the billing period.

5.3 Service Fee on Deal Payments

When a Brand makes a payment on a deal, a 5% service fee is added to the deal amount at checkout. This fee covers payment processing, escrow services, and platform operations. For example, on a $2,000 deal, the Brand pays $2,100 total ($2,000 deal amount + $100 service fee). The Creator receives the full $2,000 deal amount.

The service fee is non-refundable once the deal payment has been successfully processed, except in cases of fraud or platform error as determined by SponsorLobby at its sole discretion.

6. Payments

6.1 Payment Processing

Deal payments from Brands are processed through Stripe, our third-party payment processor. By using the payment features, you also agree to Stripe's terms of service (https://stripe.com/legal). The total amount charged to Brands at checkout includes the deal amount plus the 5% service fee described in Section 5.3.

6.2 Creator Payouts

When a Brand completes payment on a deal and the deal is marked as complete, the Creator receives their full payout (100% of the agreed deal amount) to their PayPal account within 3-5 business days. Standard PayPal transaction fees apply on receipt and are the responsibility of the Creator. These fees are charged by PayPal, not by SponsorLobby.

6.3 Refunds and Disputes

If a dispute arises between a Creator and a Brand regarding a deal, both parties should first attempt to resolve the matter directly through the in-app messaging system. If resolution cannot be reached, either party may contact us at support@sponsorlobby.com for mediation assistance. We reserve the right to make final determinations on disputes at our discretion.

6.4 Fee Changes

We reserve the right to modify the service fee percentage with 30 days' written notice to affected users. Any fee changes will apply only to deals initiated after the effective date of the change.

7. Agreements

The Service provides tools for creating and signing digital agreements between Creators and Brands. These agreements are binding contracts between the parties. SponsorLobby is not a party to these agreements and is not responsible for enforcing their terms. Both parties are responsible for reviewing agreement terms carefully before signing.

8. Verified Analytics

Creators may connect their social media accounts (YouTube) to display verified analytics on their profiles. These statistics are pulled directly from platform APIs and cannot be manually edited. SponsorLobby does not guarantee the accuracy of third-party platform data.

9. Acceptable Use

You agree not to:

  • Provide false or misleading information in your profile, applications, or campaigns
  • Use the Service for any unlawful purpose
  • Harass, abuse, or threaten other users
  • Manipulate engagement metrics or analytics
  • Circumvent the platform's subscription requirements, service fees, or payment processes
  • Scrape, crawl, or use automated means to access the Service
  • Impersonate another person or entity
  • Upload content that infringes on intellectual property rights
  • Use the Service to distribute malware or harmful code
  • Interfere with the proper functioning of the Service

10. Content and Intellectual Property

10.1 Your Content

You retain ownership of content you create and upload to the Service. By uploading content, you grant us a limited, non-exclusive license to display and distribute that content as necessary to operate the Service.

10.2 Our Content

The SponsorLobby name, logo, and all related branding are the property of Keipe Creative Studio LLC. You may not use our branding without prior written permission.

11. Termination

11.1 By You

You may delete your account at any time through the Settings screen in the app. Account deletion will remove your profile and personal data in accordance with our Privacy Policy.

11.2 By Us

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion. We will make reasonable efforts to notify you before or at the time of termination.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Any pending deals or payments will be handled on a case-by-case basis. Provisions that by their nature should survive termination (including payment obligations, limitation of liability, and dispute resolution) will survive.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEIPE CREATIVE STUDIO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Keipe Creative Studio LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party rights.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought exclusively in the state or federal courts located in Colorado.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
